Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and PT Lingkar Inovasi Teknologi ("Company," "we," "us," or "our"), the operator of the SocialSurfer platform accessible at https://www.socialsurfer.site.
By registering for an account, clicking "I Agree," accessing, or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
Under Pasal 18 ayat (1) UU ITE No. 11 Tahun 2008, electronic contracts are legally valid and binding when agreed to electronically. Your continued use of the Service constitutes ongoing acceptance of these Terms and any amendments hereto.
If you do not agree to these Terms, you must cease use of the Service immediately and may not create or maintain an account.
Description of Service
SocialSurfer is a Software-as-a-Service (SaaS) platform that provides AI-powered social media analytics. The Service enables creators, brands, and marketing professionals to:
- Connect and aggregate data from Instagram, YouTube, and TikTok via official OAuth 2.0 APIs;
- View unified dashboards of followers, reach, engagement, and content performance metrics across platforms;
- Receive AI-generated insights and actionable content strategy recommendations;
- Analyse audience segments, growth trends, best posting times, and content composition;
- Monitor subscription plan usage and manage connected platform accounts.
Scope limitations: SocialSurfer is a read-only analytics tool. We do not post, schedule, delete, or otherwise modify content on your social media accounts on your behalf. We do not guarantee any specific growth outcome, follower increase, or business result from use of the Service.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable advance notice where practicable.
Eligibility
To use SocialSurfer, you must:
- Be at least 18 years of age. Under Indonesian law and international best practice, processing of minors' personal data requires verifiable parental consent (Pasal 25 ayat (3) UU PDP No. 27 Tahun 2022). We do not knowingly provide the Service to anyone under 18.
- Have the legal capacity to enter into binding contracts under applicable law, including KUH Perdata Pasal 1329–1331 (legal capacity to act) and Pasal 1233 (sources of engagement).
- If registering on behalf of a company or organisation, have authority to bind that entity to these Terms.
- Not be prohibited from using the Service under any applicable laws or regulations, including UU ITE.
By using the Service, you represent and warrant that you satisfy all of the above eligibility requirements. If we discover that eligibility requirements are not met, we may suspend or terminate your account without prior notice.
Account Registration & Security
4.1 Registration
To access the Service, you must create an account by providing accurate, current, and complete information. You may register using an email address and password, or via OAuth sign-in (Google or GitHub). You agree to keep your registration information up to date.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your credentials. You agree to:
- Choose a strong, unique password and not share it with others;
- Notify us immediately at privacy@socialsurfer.site if you suspect any unauthorised access to your account;
- Log out of your account after each session on shared devices;
- Not permit any third party to use your credentials to access the Service.
We implement industry-standard security including AES-256-GCM encryption for stored OAuth tokens, bcrypt password hashing, JWT session management, CSRF protection, and HTTP security headers. For full details, see our Privacy Policy.
4.3 One Account Per User
Each user may maintain one active account. Creating duplicate accounts, including to circumvent a suspension or plan limit, is prohibited and may result in termination of all associated accounts.
4.4 Account Responsibility
You are responsible for all activity that occurs under your account. We are not liable for any loss arising from unauthorised account access resulting from your failure to maintain credential security, consistent with KUH Perdata Pasal 1365 (unlawful act and damages).
Acceptable Use Policy
5.1 Permitted Use
You may use SocialSurfer solely for lawful analytics and business intelligence purposes consistent with these Terms.
5.2 Prohibited Conduct
You agree not to:

Violations may result in immediate account suspension or termination (see Section 12) and may expose you to civil or criminal liability under Indonesian law.
Intellectual Property
6.1 Our IP
The SocialSurfer platform — including its software, algorithms, AI models, data pipelines, visual design, trademarks, logos, brand identity, documentation, and all content we create — is owned exclusively by PT Lingkar Inovasi Teknologi and protected by applicable intellectual property laws, including Indonesian Law No. 28 Tahun 2014 on Copyright and Law No. 20 Tahun 2016 on Trademarks.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely as permitted by these Terms. No rights are granted beyond this express licence.
6.2 Your IP
You retain full ownership of all intellectual property rights in the content and data you provide or generate on the platform. We claim no ownership over your social media data, analytics insights derived from your accounts, or any user-generated content you submit.
6.3 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, royalty-free, worldwide licence to use that feedback without obligation or attribution.
User-Generated Content
The Service may allow you to input content such as AI chat prompts, annotations, or notes ("User Content"). By submitting User Content, you:
- Retain ownership of all rights in your User Content;
- Grant PT Lingkar Inovasi Teknologi a limited, non-exclusive, worldwide, royalty-free licence to store, process, display, and transmit your User Content solely to the extent necessary to operate and provide the Service;
- Represent and warrant that your User Content does not violate any third-party rights or any applicable law, including Pasal 27 UU ITE (prohibition on content violating decency, gambling, defamation, and extortion);
- Acknowledge that we may review, and if necessary remove, User Content that violates these Terms or is flagged as illegal under Indonesian law.
AI chat prompts and conversations are processed by OpenAI's API. By using the AI Insights feature, you also agree to OpenAI's usage policies. Do not submit confidential, personal (as defined by Pasal 1 angka 1 UU PDP), or sensitive information in AI prompts.
Payment, Billing & Subscriptions
8.1 Current Pricing Model
Access to full SocialSurfer features currently requires a paid subscription. Subscriptions are offered on a B2B inquiry basis — pricing, billing cycle, and payment terms are agreed in writing (via email or formal proposal) before any charge is made. There is currently no self-serve public checkout.

8.2 Taxes
All prices are exclusive of applicable taxes unless stated otherwise. As a PT (Perseroan Terbatas) established in Indonesia, we are subject to applicable Indonesian tax regulations including VAT (PPN). Tax obligations are specified in each billing agreement. 8.3 Payment Processing
Payments are processed by our third-party payment processor (currently Stripe). By making a payment, you agree to the payment processor's terms and authorise the charge to your designated payment method. We do not store your full payment card details.
8.4 Late Payment
For B2B agreements, overdue invoices may result in suspension of Service access until the outstanding balance is settled. Late payment terms are specified in the applicable billing agreement. [REVIEW NEEDED — add late-payment interest rate if applicable]
Refunds & Cancellation
9.1 Cancellation
You may cancel your subscription at any time by contacting us at privacy@socialsurfer.site. Cancellation takes effect at the end of the current billing period (or as specified in your B2B agreement). You will retain access to the Service until the conclusion of the period for which you have already paid.
9.2 Refund Policy
Refunds are evaluated on a case-by-case basis. The following general guidelines apply, consistent with UU No. 8 Tahun 1999 tentang Perlindungan Konsumen (Consumer Protection Law):

9.3 No Free Trial
SocialSurfer does not currently offer a free trial period. You are encouraged to contact us before subscribing to understand the features included in your plan.
Service Availability & Disclaimers
10.1 Uptime
We strive for high availability but do not guarantee any specific uptime percentage. The Service may be unavailable during scheduled maintenance, security updates, or due to circumstances beyond our control, including third-party platform outages (Meta, Google, TikTok), force majeure, or internet infrastructure failures.
Where practicable, we will provide advance notice of planned maintenance via email or in-app notification. [REVIEW NEEDED — If you have an SLA for B2B customers, define it here or in a separate SLA document.]
10.2 Third-Party Data Dependency
Our analytics data is sourced from Instagram Graph API, YouTube Data API, and TikTok API. Data accuracy, availability, and completeness are subject to the policies and technical limitations of those platforms. We are not responsible for discrepancies arising from third-party API changes, rate limits, or deprecations.
10.3 "As-Is" Disclaimer
To the fullest extent permitted by Indonesian law, the Service is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by mandatory consumer protection provisions under UU No. 8 Tahun 1999.
10.4 No Professional Advice
Analytics insights and AI-generated recommendations provided by the Service are for informational purposes only. They do not constitute financial, marketing, legal, or professional advice. You are solely responsible for decisions you make based on information from the Service.
Limitation of Liability & Indemnification
11.1 Limitation of Liability
To the maximum extent permitted by applicable law, including Indonesian mandatory consumer protection laws, PT Lingkar Inovasi Teknologi and its directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service;
- Loss of data, revenue, profits, goodwill, or business opportunity resulting from Service interruptions or inaccuracies;
- Unauthorised access to your account or data resulting from your failure to maintain credential security;
- Actions or content of third-party services integrated with the platform (Instagram, YouTube, TikTok, Stripe, OpenAI).
Our total cumulative liability for any claim arising from or relating to these Terms or the Service shall not exceed the total fees you paid to us in the three (3) months preceding the event giving rise to the claim, or Rp 1.000.000 (one million Rupiah), whichever is greater. This limitation of liability is consistent with Indonesian contractual principles under KUH Perdata Pasal 1247–1248 (limitation of damages to foreseeable losses).
11.2 Indemnification
You agree to indemnify, defend, and hold harmless PT Lingkar Inovasi Teknologi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms;
- Your violation of any applicable law, including UU ITE or UU PDP;
- Your infringement of any third-party intellectual property or privacy rights;
- Any content or activity originating from your account.
Termination & Suspension
12.1 Termination by You
You may terminate your account at any time by contacting us at privacy@socialsurfer.site. Upon termination, your right to access the Service ceases immediately. We will handle your personal data in accordance with our Privacy Policy and applicable deletion timelines under Pasal 25 ayat (2) UU PDP.
12.2 Termination or Suspension by Us
We reserve the right to suspend or terminate your account, immediately and without prior notice, if:
- You breach any provision of these Terms;
- We reasonably suspect fraudulent, abusive, or illegal activity on your account, including violations of UU ITE Pasal 27–33;
- You fail to pay any amounts owed under a billing agreement;
- Continuing to provide the Service would expose us to legal or regulatory liability.
In cases where the suspension or termination is not caused by your breach, we will provide reasonable advance notice and, where applicable, a pro-rata refund for unused prepaid periods.
12.3 Effect of Termination
Upon termination: (a) your licence to use the Service is revoked; (b) your account data will be deleted per our Privacy Policy; (c) clauses that by their nature should survive termination (including Sections 6, 11, 15, and 16) shall remain in full force and effect.
Third-Party Links & Services
The Service integrates with and displays links to third-party platforms and services including Meta (Instagram), Google (YouTube), TikTok, Stripe, OpenAI, Supabase, Vercel, and GitHub. These integrations are subject to the respective third parties' own terms of service and privacy policies.
PT Lingkar Inovasi Teknologi is not responsible for the content, privacy practices, security, availability, or data handling of third-party services. We recommend you review the applicable terms and policies of any third-party service you interact with in connection with SocialSurfer.
Your connection of social media accounts and the resulting processing of those accounts' data by SocialSurfer is governed by both these Terms and the respective platform's developer policies (e.g., Meta Platform Policy, YouTube API Services Terms of Service, TikTok Developer Terms).
Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, applicable law, or business practices. In accordance with Pasal 21 UU PDP and general good-faith contracting principles under KUH Perdata Pasal 1338:
- Material changes — We will notify you via the email address associated with your account at least 14 calendar days before the changes take effect. Material changes include modifications to pricing, limitation of liability, dispute resolution, or core Service features.
- Minor changes — Corrections, formatting updates, or clarifications that do not affect your rights will be updated in place with a new "Last Updated" date.
- Your options — If you do not agree to updated Terms, you must stop using the Service and may request account deletion. Continued use after the effective date constitutes acceptance of the updated Terms.
Governing Law & Dispute Resolution
15.1 Governing Law
These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles.
15.2 Dispute Resolution
In the event of any dispute, the parties agree to the following resolution process:
- Amicable Settlement (30 days): The disputing party shall first give written notice to the other party. The parties shall attempt to resolve the dispute in good faith within 30 calendar days of such notice.

Nothing in this Section prevents either party from seeking emergency injunctive relief from a competent Indonesian court to prevent irreparable harm.
Under UU ITE Pasal 18 ayat (5), parties to an electronic contract may freely agree on jurisdiction; the above clause constitutes that agreement.
15.3 Language
These Terms are made available in English. A Bahasa Indonesia translation shall be made available upon request. In the event of any inconsistency or conflict between the English and Bahasa Indonesia versions, the Bahasa Indonesia version shall prevail, as required by UU No. 24 Tahun 2009 tentang Bendera, Bahasa, dan Lambang Negara, serta Lagu Kebangsaan (Pasal 31), which mandates that agreements involving Indonesian parties be executed in Bahasa Indonesia. Severability & Entire Agreement
16.1 Severability
If any provision of these Terms is found to be unenforceable or invalid by a competent court or authority, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. This is consistent with general contract principles under KUH Perdata Pasal 1335.
16.2 Entire Agreement
These Terms, together with our Privacy Policy and any applicable B2B billing agreements, constitute the entire agreement between you and PT Lingkar Inovasi Teknologi with respect to the Service. They supersede all prior or contemporaneous communications, representations, and agreements relating to the Service, whether oral or written.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right. Any waiver must be made in writing and signed by an authorised representative of PT Lingkar Inovasi Teknologi.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.

Legal Framework
These Terms are governed by and interpreted in accordance with the laws of the Republic of Indonesia, including: UU No. 27 Tahun 2022 (PDPA), UU No. 11 Tahun 2008 jo. UU No. 19 Tahun 2016 (UU ITE), UU No. 8 Tahun 1999 (Consumer Protection), KUH Perdata, UU No. 28 Tahun 2014 (Copyright), and UU No. 24 Tahun 2009 (Language). GDPR principles are applied as supplementary best practices for international users.
